GoodHub Platforms Limited/GoodHub “Fundraiser” Terms and Conditions
GoodHub.com is a trading name of GoodHub Platforms Limited (“GoodHub”) (company number 10702553), registered in England, and has its registered office at 7 Gay Street, Bath, Somerset, BA1 2PH, England. We are registered with the Information Commissioner’s Office (no. ZA290916) for data protection purposes.
Please note that we do not offer regulated investments through the platform. Therefore we are not authorised or regulated by the Financial Conduct Authority.
Where the term “GoodHub” is used in these Terms and Conditions, that term applies to GoodHub.com and GoodHub Platforms Limited.
Where the term “Organisation” is used in these Terms and Conditions, that term will apply to any entity registering on GoodHub.
Where the term “Personal Crowdfunder” is used in these Terms and Conditions, that term will apply to any individual registering on GoodHub with the intention to create a Personal Crowdfunding page.
Where the term “Fundraiser” is used in these Terms and Conditions, that term will apply to any individual registered with GoodHub who creates or manages a fundraising page or fundraising activity on GoodHub for the benefit of an Organisation or Personal Crowdfunder. This includes an individual fundraising personally, on behalf of another individual or individuals, or as part of a team. Where a fundraising Page is created by an adult on behalf of a child under 13, the adult will be the Fundraiser for the purposes of these Terms and Conditions.
Where the term “User” is used in these Terms and Conditions, that term will apply to a donor, ticket purchaser or entrant to a sponsored event. The terms “user”, “donor”, “purchaser”, “entrant” and similar terms are interchangeable.
These Terms and Conditions may change or be updated from time to time. It remains your responsibility to access and check these Terms and Conditions wherever you access the website. The latest version of these Terms and Conditions will govern any future usage by you of the website and its associated services. The date on which these Terms of Service were last updated is stated at the end of this document.
WHAT WE DO
GoodHub.com provides an “online meeting place” and platform through which Fundraisers can create fundraising pages and activities to raise funds for UK registered Organisations and Personal Crowdfunders.
The services provided by GoodHub include verification and due diligence in relation to recipient Organisations and Personal Crowdfunders, including such identity, contact, bank account, fraud, security and financial crime checks as GoodHub considers appropriate. We also provide fundraising tools and support and distribute and promote fundraising pages hosted on GoodHub.com.
GoodHub manages the collection of donations made through Fundraiser Pages and the distribution of funds to the relevant beneficiary Organisation or Personal Crowdfunder, together with associated reconciliation data. Where applicable, GoodHub also manages the collection of Gift Aid from HMRC.
WHAT WE DON’T DO
Although we may promote, advertise or raise awareness of certain organisations, campaigns, events or fundraisers, we will not be involved in the management of or use of donations, participation (entrance) fees or ticket sale proceeds. If an organisation offers an incentive or reward in relation to any fundraising campaign or event, GoodHub will not directly offer or fulfil these.
Other than as mentioned above, we do not have any involvement in arrangements Organisations, Personal Crowdfunders, Fundraisers and Users make with each other through GoodHub. Such arrangements are made directly between the parties concerned. Fundraisers are responsible for their own fundraising activities and for any representations or commitments they make to Organisations, Personal Crowdfunders or Users.
We do not verify the identity of anyone who becomes a user or fundraiser. We cannot therefore give any guarantee that any users or fundraisers are who they say they are or that the information they provide is accurate, complete or true.
We make no recommendation or representation in relation to any Organisation, Personal Crowdfunder, campaign, event, Fundraiser or fundraising activity.
FUNDRAISER TERMS
These Fundraiser Terms set out the fundraiser’s and GoodHub Platforms Limited’s obligations with respect to the fundraiser’s use of GoodHub.com.
In addition to these fundraiser terms, the fundraiser agrees to other terms when using GoodHub.com.
REGISTERING WITH GOODHUB.COM
A Fundraiser may create a fundraising Page on GoodHub to raise funds for:
- an Organisation, whether or not that Organisation has registered with GoodHub or claimed its GoodHub page; or
- a Personal Crowdfunder published on GoodHub.
Where an Organisation has not registered with GoodHub or claimed its page, GoodHub may contact the Organisation and invite it to register, claim its page and/or provide such information as GoodHub may reasonably require in order to verify the Organisation, administer the fundraising activity and, where applicable, transfer funds and process Gift Aid.
The creation or publication of a Fundraiser Page does not guarantee that funds will be transferred to the intended Organisation or Personal Crowdfunder. Distribution of funds remains subject to the applicable Organisation or Personal Crowdfunder Terms and Conditions, including any relevant eligibility, verification, fraud, security, compliance and payment requirements.
By registering on GoodHub, you confirm that you have read and understand the Fundraising Regulator’s guidance, “Setting up an online fundraising appeal: advice for the public” and agree to comply with these Terms and Conditions and any applicable fundraising requirements.
ACCESS TO AND USE OF GOODHUB.COM
The fundraiser’s username and password provide access to the fundraiser’s area of GoodHub.com.
FUNDRAISER DETAILS
The Fundraiser must provide truthful, complete and accurate information when registering with GoodHub and must keep their account information up to date.
GoodHub may collect and use information relating to the Fundraiser for the purposes of administering their account and fundraising activities, communicating with them, maintaining the security and integrity of the GoodHub service, and preventing, detecting and investigating fraud, misuse or other suspicious activity.
GoodHub may request additional information from a Fundraiser where reasonably necessary to investigate suspected fraud, misuse, security concerns or a breach or suspected breach of these Terms and Conditions.
GoodHub reserves the right to reject an application, restrict or suspend an account, pause or remove a fundraising Page or take other proportionate action where information provided is false, inaccurate or misleading, or where GoodHub otherwise has reasonable fraud, security, compliance or other risk concerns.
Personal information relating to Fundraisers will be processed in accordance with GoodHub’s Privacy Policy.
YOUR NOMINATED BENEFICIARY
A Fundraiser may create a fundraising Page to raise funds for an Organisation or Personal Crowdfunder available on GoodHub.
Where you create a fundraising Page for an Organisation, the Organisation does not need to have registered with GoodHub or claimed its GoodHub page before you can begin fundraising for it.
Where an Organisation has not registered with GoodHub or claimed its page, GoodHub may contact the Organisation and invite it to register, claim its page and/or provide such information as GoodHub may reasonably require in order to verify the Organisation, administer the fundraising activity and, where applicable, transfer funds and process Gift Aid.
Where you create a fundraising Page for a Personal Crowdfunder, the Personal Crowdfunder must have a published Personal Crowdfunder Page on GoodHub.
Funds raised through your fundraising Page will be for the benefit of the Organisation or Personal Crowdfunder identified on the Page and will not be transferred to you or otherwise be under your control.
The transfer of funds to the intended beneficiary is subject to the applicable Organisation or Personal Crowdfunder Terms and Conditions, including any applicable eligibility, verification, fraud, security, compliance and payment requirements.
Where GoodHub is unable to transfer funds to the intended beneficiary, the funds may be refunded, re-appropriated or otherwise dealt with in accordance with the applicable Organisation or Personal Crowdfunder Terms and Conditions.
THE FUNDRAISER’S FUNDRAISING PAGE
The fundraiser’s fundraising page contains information submitted by the fundraiser, including a video clip, where the fundraiser has opted to submit such a clip. The fundraiser’s name and fundraising page are viewable by potential Donors on GoodHub.com.
By starting the listing, the fundraiser confirms to GoodHub Platforms Limited and the donors that the information contained in the fundraiser’s fundraising page is complete, accurate and up to date.
FUNDRAISING PAGE CONTENT GUIDELINES
Fundraisers are responsible for ensuring that all content published on their fundraising Page is clear, accurate and focused on the purpose of their fundraising activity.
Fundraising Page content must:
- Clearly describe the purpose of the fundraising and identify the intended beneficiary Organisation or Personal Crowdfunder.
- Be honest, transparent and not misleading in any way.
- Be relevant to the fundraising activity and the Organisation or Personal Crowdfunder for whom funds are being raised.
Fundraising Page content must not:
- Include references to GoodHub’s fees, voluntary contributions or business model.
- Attempt to explain, influence or reinterpret the donation process or platform mechanics.
- Contain any information that may cause confusion or inconsistency in how GoodHub’s services are presented to Users.
- Contain graphic, violent, intimidating or inflammatory imagery or content that GoodHub reasonably considers likely to cause distress, promote hostility, or create reputational, legal, regulatory or payment processing risk for the platform.
- Be false, fabricated, deceptive or materially misleading as to the Fundraiser, the beneficiary Organisation or Personal Crowdfunder, the purpose of the fundraising activity or the intended use of funds.
- Include images, documents or other material that the Fundraiser does not have the right to use, or that falsely or misleadingly represents the Fundraiser, beneficiary or circumstances described on the fundraising Page.
- Impersonate another person or Organisation or otherwise misrepresent the identity of the Fundraiser, beneficiary Organisation, Personal Crowdfunder or any other person connected with the fundraising activity.
GoodHub may use automated systems and manual review to assess fundraising Page content and imagery for compliance with these Terms and to identify potential fraud, deception, financial crime, safety, credibility or other trust concerns. Automated review may be used to identify Pages requiring further review but will not, solely on the basis of writing style or presentation, constitute a definitive finding that a Fundraiser or fundraising activity is fraudulent.
Where concerns arise, GoodHub may request additional information or evidence, delay or prevent publication, edit or remove content, temporarily pause or suspend a fundraising Page, restrict further donations, or take any other proportionate action permitted under these Terms.
DISTRIBUTION OF FUNDS RAISED
Funds raised through a Fundraiser Page are not transferred to the Fundraiser. Donations are collected by GoodHub for the benefit of the Organisation or Personal Crowdfunder identified on the Fundraiser Page and will be distributed in accordance with the applicable Organisation or Personal Crowdfunder Terms and Conditions.
The distribution of funds may be delayed, suspended, refused, refunded or otherwise restricted where verification of the recipient Organisation or Personal Crowdfunder remains incomplete or unsatisfactory, where GoodHub is conducting a compliance or fraud review, where fraud, financial crime, unauthorised payments or a breach or suspected breach of the applicable Terms and Conditions is identified or reasonably suspected, or where GoodHub otherwise has a legitimate legal, security, compliance or risk reason for doing so.
The Fundraiser has no right to receive, withdraw, direct the transfer of or otherwise control funds raised through their Fundraiser Page.
RE-APPROPRIATION OF DONATIONS
Where GoodHub is unable to transfer funds raised through a Fundraiser Page to the intended Organisation or Personal Crowdfunder, the relevant funds may be refunded, re-appropriated or otherwise dealt with in accordance with the applicable Organisation or Personal Crowdfunder Terms and Conditions.
The Fundraiser has no entitlement to receive any funds which are refunded, re-appropriated or otherwise dealt with under those Terms and Conditions.
FEES
There is no charge to register as a Fundraiser or create an eligible fundraising Page on GoodHub.
Funds raised through a Fundraiser Page are attributed to the beneficiary Organisation or Personal Crowdfunder identified on the Page. Any fees or charges applying to the funds raised are governed by the applicable Organisation or Personal Crowdfunder Terms and Conditions.
No additional fee is charged to the Fundraiser for creating or operating a Fundraiser Page.
THE FUNDRAISER’S LIABILITY TO GOODHUB PLATFORMS LIMITED
The fundraiser is liable to GoodHub Platforms Limited for any loss or damage suffered by GoodHub Platforms Limited or any user of GoodHub.com as a result of the fundraiser (or a person using the fundraiser’s username and password with the fundraiser’s knowledge or permission or through the fundraiser’s negligence):
- using GoodHub.com in a way that is fraudulent.
- breaching these fundraiser’s Terms.
- otherwise using GoodHub.com in a way that causes loss or damage to GoodHub Platforms Limited or any other user of GoodHub.com.
GOODHUB PLATFORMS LIMITED’S LIABILITY TO THE FUNDRAISER
GoodHub Platforms Limited is not liable to the fundraiser for any loss, damage or cost arising out of or in connection with the fundraiser’s registration with GoodHub Platforms Limited or use of GoodHub.com, except where the loss, damage or cost is a result of GoodHub Platforms Limited’s breach of these fundraiser terms, negligence or fraud.
GoodHub Platforms Limited’s liability to the fundraiser will not exceed 10,000 pounds in respect of all claims.
Nothing in these fundraiser’s terms excludes or limits GoodHub Platforms Limited’s liability for death or personal injury caused by its negligence or for fraud.
GoodHub Platforms Limited does not offer any guarantee, either explicit or implicit, that any campaign target will be achieved, or minimum funds raised, or if collecting regular donations that any minimum amount will be collected.
ASSIGNMENT
GoodHub Platforms Limited may transfer or delegate any of its rights or obligations under these fundraiser’s terms to any person.
GoodHub Platforms Limited may provide information about the Fundraiser, the relevant Organisation or Personal Crowdfunder and their activities on GoodHub.com to that person.
The fundraiser may not transfer any of its rights or obligations under these fundraiser’s terms.
AMENDMENTS
GoodHub Platforms Limited may amend these fundraiser’s terms from time to time and need not give the fundraiser notice of the amendments.
These terms will display the date that any amendments were effective.
NOTICES
All notices given under these fundraiser’s terms or any other terms relating to GoodHub.com must be in writing and in English.
GoodHub Platforms Limited may deliver a notice to the fundraiser by placing a message on the fundraiser’s area of GoodHub.com or by email or post to the contact details last known to GoodHub Platforms Limited.
A notice from GoodHub Platforms Limited will be effective at the time of placing a message on GoodHub.com or sending an email, or on the second business day after posting. A business day is a weekday other than a national holiday.
A notice from the fundraiser to GoodHub Platforms Limited can be sent by email to admin@GoodHub.com, or by post to GoodHub Platforms Limited Customer Service, 7 Gay Street, Bath, BA1 2PH. Notices to GoodHub Platforms Limited will be effective on receipt.
COMPLAINTS
Complaints must be made in writing to GoodHub.com Customer Services, 7 Gay Street, Bath, BA1 2PH. Notices to GoodHub Platforms Limited will be effective on receipt.
NO WAIVER
If GoodHub Platforms Limited does not enforce any of its rights under these fundraiser’s terms or any other terms relating to GoodHub.com, it does not mean that GoodHub Platforms Limited will be unable to enforce that right in future.
THIRD PARTY RIGHTS
A person who is not a party to these fundraiser’s terms may not enforce any of these terms.
LAW AND JURISDICTION
These Fundraiser Terms and any non-contractual obligations arising out of or in connection with them are governed by English law and the English courts have exclusive jurisdiction.
For the benefit of GoodHub Platforms Limited, the Fundraiser irrevocably submits to the jurisdiction of the English courts and irrevocably agrees that a ruling in those courts will be conclusive and binding on the Fundraiser and may be enforced against the Fundraiser in the courts of any other jurisdiction.
PERSONAL INFORMATION
In order to provide the GoodHub service, GoodHub collects and processes personal information relating to Fundraisers. This may include, but is not limited to, the Fundraiser’s name, date of birth, email address, telephone number and other information provided by the Fundraiser or obtained in connection with their use of GoodHub.
GoodHub may use personal information to administer Fundraiser accounts and fundraising Pages, communicate with Fundraisers, provide and improve the GoodHub service, maintain the security and integrity of the platform, and prevent, detect and investigate fraud, misuse, unauthorised activity and breaches or suspected breaches of these Terms and Conditions.
For these purposes, GoodHub may use independent third-party service providers and appropriate data sources and may receive information or risk indicators from such providers as part of its fraud prevention, security and compliance processes.
Where required or appropriate, GoodHub may disclose personal information to its service providers, payment processors, acquiring or banking partners, professional advisers, regulators, law enforcement agencies or other competent authorities, subject to applicable law.
Personal information will be collected, used, stored and otherwise processed in accordance with GoodHub’s Privacy Policy and applicable data protection law. Further information about how GoodHub processes personal information, including the purposes for which it is used, the parties with whom it may be shared and the rights of individuals in relation to their personal information, is set out in GoodHub’s Privacy Policy.
YOUR ACCOUNT AND FUNDRAISING PAGE
You are responsible for maintaining the confidentiality and security of your GoodHub account, username and password and for all activity carried out through your account.
You must be at least 13 years old to create a Fundraiser account or fundraising Page on GoodHub.
Where a child is under 13, a parent, guardian or other responsible adult may create and manage a fundraising Page on the child’s behalf. The adult creating the Page will be the registered Fundraiser and will be responsible for the account, the fundraising Page and compliance with these Terms and Conditions.
You must provide truthful, complete and accurate information when creating or maintaining your account and fundraising Page and must keep that information up to date.
You must not allow another person to use your account or login details, and you must notify GoodHub as soon as reasonably possible if you know or suspect that your account or login details have been lost, stolen, compromised or used without your authority.
You are responsible for the content and activities associated with your fundraising Page and must ensure that your use of GoodHub and your fundraising activity comply with these Terms and Conditions.
GoodHub may restrict or suspend access to your account, pause or remove a fundraising Page, prevent further donations or take other proportionate action where:
- GoodHub reasonably suspects fraudulent, deceptive, criminal, unauthorised or otherwise improper activity in connection with your account, fundraising Page or use of GoodHub;
- information provided by you is false, inaccurate, incomplete or materially misleading;
- GoodHub reasonably suspects that your account or login details have been compromised or are being misused;
- you breach or are reasonably suspected of breaching these Terms and Conditions; or
- GoodHub otherwise has reasonable security, compliance, fraud or other risk concerns.
GoodHub may request additional information or evidence from you and carry out such further checks or reviews as it considers reasonably necessary to investigate suspected fraud, misuse, security concerns or a breach or suspected breach of these Terms and Conditions.
Any restriction or suspension may remain in place for as long as reasonably necessary to complete the relevant review or investigation or otherwise protect GoodHub, Users, Organisations, Personal Crowdfunders or the security and integrity of the platform.
USING THE GOODHUB WEBSITE
You may use GoodHub only for lawful purposes and in accordance with these Terms and Conditions.
You must not use GoodHub:
- in any way that is fraudulent, deceptive, criminal, unlawful or otherwise improper;
- to provide, publish or communicate information that is false, fabricated or materially misleading;
- to impersonate another person or Organisation or misrepresent your identity, your relationship with an Organisation or Personal Crowdfunder, or the purpose of your fundraising activity;
- in any way that infringes the rights of another person, including intellectual property, privacy or data protection rights;
- to upload, publish or transmit material that is unlawful, defamatory, abusive, threatening, hateful, discriminatory, obscene or otherwise prohibited by these Terms and Conditions;
- to interfere with, disrupt, damage or compromise the operation or security of GoodHub, another User’s account or any systems or services connected with GoodHub;
- to attempt to gain unauthorised access to any account, data, system or part of GoodHub; or
- otherwise in a manner that GoodHub reasonably considers likely to expose GoodHub, its Users, Organisations, Personal Crowdfunders, payment or banking partners, or the platform to fraud, security, legal, regulatory or material reputational risk.
You are responsible for the information, content and materials you submit to GoodHub and for ensuring that they are accurate, lawful and not false, deceptive or misleading.
GoodHub does not independently verify all information or content submitted by Fundraisers, Organisations, Personal Crowdfunders or other Users and does not guarantee its accuracy, completeness or reliability.
GoodHub may use automated systems and manual review to moderate and assess information, content and imagery for compliance with these Terms and Conditions and to identify potential fraud, deception, financial crime, safety, credibility or other trust concerns. The use of automated systems or manual review does not mean that GoodHub has verified, endorsed or approved the accuracy or authenticity of any Fundraiser, fundraising Page, Organisation or Personal Crowdfunder.
Where concerns arise, GoodHub may request additional information or evidence, edit or remove content, restrict or suspend access to an account, temporarily pause or remove a fundraising Page, prevent further donations or take any other proportionate action permitted under these Terms and Conditions.
You must comply with any reasonable instructions given by GoodHub relating to your use of the website, your account or your fundraising Page.
PARTICIPATING IN A LEADERBOARD OR SIMILAR
An organisation that publishes certain pages can opt to create a Leaderboard for its fundraisers. Each fundraiser can opt to participate in the Leaderboard. If the fundraiser chooses to participate then you agree that you will not create an avatar that:
- is defamatory, abusive, indecent or otherwise offensive;
- infringes the copyright, privacy, confidentiality or other right of any third party. If you use someone else’s personal information, material or image, you must make sure you have their permission.
YOUR OBLIGATIONS
If your use of the website and/or associated services results in access to any Personal Information you shall:
- at all times assist with the responsibilities of GoodHub Platforms Limited, as a data controller responsible for determining how the Personal Information is processed under the provisions of the Privacy Laws;
- not do, or cause or permit to be done, anything which may result in a breach by GoodHub Platforms Limited of the Privacy Laws and comply with all reasonable instructions from GoodHub Platforms Limited relating to the processing by you and/or the GoodHub.com crowdfunding page of such Personal Information;
- comply with the Privacy Laws in respect of your and/or the GoodHub.com crowdfunding page’s collection, use, disclosure or processing of the Personal Information;
- abide by the lawful instructions of all data subjects in respect of the Personal Information and not do anything to compromise the security of such information;
- not sell, trade or rent Personal Information to third parties;
- hold the Personal Information securely and not disclose it to anyone other than GoodHub Platforms Limited, as agreed to by the data subject and/or as permitted by Privacy Laws;
- implement adequate security, technical and organisational measures against all unauthorised, unlawful or accidental access, processing, use, erasure, loss or destruction of, or damage to, Personal Information in accordance with Privacy Laws, and abide by GoodHub Platforms Limited’s reasonable requirements to ensure the security of the Personal Information as notified to you from time to time;
- use Personal Information appropriately and only for the specific purposes as notified to you from time to time, including by way of the applicable privacy policy available on GoodHub.com’s website;
- only communicate with donors where they have agreed to receive further communications from you and/or the GoodHub.com crowdfunding page, and only to the extent that they have indicated their preference to do so (for example in relation to communications for a specific fundraising event only);
- not retain any Personal Information for longer than is necessary; and
- to the extent legally permissible, you shall indemnify and hold harmless GoodHub Platforms Limited, its successors and assigns, from and against all losses, costs and other damage caused by your and/or the GoodHub.com crowdfunding page’s breach of this paragraph; and
You shall maintain any necessary authority, permit, licence, consent, approval and registration for you to fundraise (and, where applicable, for GoodHub Platforms Limited to fundraise on your behalf) in accordance with applicable laws and if GoodHub Platforms Limited needs any such authority, permit, licence, consent, approval or registration for it to fundraise on behalf of the GoodHub.com pages then you will, at no cost to GoodHub Platforms Limited, provide all such assistance as GoodHub Platforms Limited reasonably requires to assist GoodHub Platforms Limited with the same. You agree that you shall inform GoodHub Platforms Limited immediately if, for any reason, you and/or the GoodHub.com page cease(s) to maintain the necessary authority, permit, licence, consent, approval and/or registration to operate the fundraising activities in relation to the GoodHub.com page in accordance with applicable local laws.
By building a GoodHub.com page you represent, warrant and undertake to GoodHub Platforms Limited and the users of the website that:
- each time you use the website or associated services, and in particular when you create a GoodHub.com page, you will comply with GoodHub Platforms Limited’s guidelines that apply to GoodHub.com pages at that time.
- The information you provide to us is true and accurate in all respects and is not misleading;
- You have not omitted to tell us any information which could reasonably be considered relevant to a fundraising appeal;
- You agree and will ensure that the campaign complies with the “Code of Fundraising Practice” as set out by the Fundraising Regulator https://www.fundraisingregulator.org.uk/code
LICENCE OF TRADEMARK AND COPYRIGHTED MATERIAL
You hereby grant to GoodHub Platforms Limited, its affiliates and its partners a non-exclusive licence to use any of your GoodHub.com page’s trademarks and any copyrighted material or other content, including written content, images and videos (or any link to the same) solely in connection with the website and associated services and its operation and promotion and for no other purpose whatsoever.
You are solely responsible for ensuring that you have gained the appropriate permission of any of and all the individuals and premises, venues and similar captured in images or videos (or any link to the same) that you submit to GoodHub for your page. If you do not have permission, then you should immediately remove that published content from GoodHub.com.
The licence shall terminate automatically on expiry or termination of these Terms of Service or the removal of your GoodHub.com crowdfunding page from the website in accordance with these Terms and Conditions.
CONFIDENTIAL INFORMATION
During the published period of your GoodHub.com page and for a period of seven (7) years thereafter, the parties shall treat as strictly confidential all information about the other which has been acquired as a result of the use of the website and associated services and which is not in the public domain.
No party shall use or disclose to any third party such information belonging to the other party without that party’s prior written consent, except where required to do so by applicable law, including, without limitation, the Freedom of Information Act 2000 and the Environmental Information Regulations 2004, or regulatory or governmental body. This paragraph shall survive termination of these Terms and Conditions.
TERMINATION
GoodHub Platforms Limited reserves the right, at its sole discretion, to immediately and without notice suspend or permanently deny your access to all or part of the website and associated services, including for example by removing any GoodHub.com fundraising page from the website. GoodHub Platforms Limited will only exercise this right where there is a breach or suspected breach by you of these Terms and Conditions (including where there is any actual or suspected fraudulent, criminal or improper use of the website or associated services) or where GoodHub Platforms Limited has any other legitimate reason to do so.
These Terms and Conditions shall terminate automatically upon the removal by you or GoodHub Platforms Limited of your GoodHub.com fundraising page from the website. These Terms and Conditions will continue to apply to past use by you.
Upon termination, suspension or denial of access to the website and associated services, funds already received for the benefit of an Organisation or Personal Crowdfunder through your fundraising Page will be handled in accordance with the applicable Organisation or Personal Crowdfunder Terms and Conditions. Any transfer of funds may be delayed, suspended or refused while GoodHub conducts an investigation regarding your use of the website or associated services or where GoodHub otherwise has a legitimate fraud, security, compliance, legal or risk reason for doing so. GoodHub may authorise the refund of donations to donors where it considers this reasonably necessary or appropriate.
ADDITIONAL TERMS FOR FUNDRAISERS FOR COMMUNITY INTEREST COMPANIES (“CICs”)
The following terms are in addition to the Fundraiser Terms and Conditions and apply to fundraising and event Pages created by a Fundraiser with a CIC as the intended beneficiary.
THE GOODHUB FOUNDATION
All CICs registered with GoodHub are automatically allocated to The GoodHub Foundation (“GHF”).
The GoodHub Foundation is an independent grant-making charity (registered charity number in England and Wales: 1209383) whose object is to advance such charitable purposes for the public benefit (according to the law of England and Wales) as the charity trustees see fit from time to time.
Any donation made through a Fundraiser Page on GoodHub with a CIC as the intended beneficiary is made to The GoodHub Foundation. The GoodHub Foundation is a registered client Organisation of GoodHub and has appointed GoodHub as its agent for dealing with donations, including, where applicable, Gift Aid, made through GoodHub.
DONATIONS AND PURCHASES
When a User makes a donation or purchases a ticket through a Fundraiser Page with a CIC as the intended beneficiary, the donation and/or payment is made to The GoodHub Foundation.
Where applicable, Gift Aid may be claimed by GoodHub on behalf of The GoodHub Foundation.
The GoodHub Foundation will normally transfer relevant funds to the selected CIC in accordance with the donor’s wishes and the applicable Organisation Terms and Conditions. However, The GoodHub Foundation retains discretion over the onward application of funds.
The GoodHub Foundation may withhold, delay or re-appropriate donations intended for a CIC where:
- it cannot satisfactorily verify that the recipient bank account belongs to the CIC;
- it believes the CIC does not serve a charitable purpose;
- it suspects that donations will not be used for charitable purposes;
- it identifies or reasonably suspects fraud, financial crime, unauthorised payments or other illegal or improper activity in connection with the CIC, its activities, its fundraising or the relevant donations; or
- GoodHub or The GoodHub Foundation otherwise has a legitimate legal, security, compliance or risk reason for doing so.
GoodHub or The GoodHub Foundation may retain relevant funds while any applicable verification, fraud, security, compliance or other review is completed.
RE-APPROPRIATION
Where The GoodHub Foundation is unable or determines that it would not be appropriate to transfer funds to the intended CIC, The GoodHub Foundation may apply those funds to an alternative charitable Organisation or retain and use the funds in furtherance of its own charitable objects.
Where funds are applied to another CIC or charity, The GoodHub Foundation will make reasonable efforts to select an Organisation whose charitable purposes closely match those of the CIC that the Fundraiser originally intended to support.
GoodHub or The GoodHub Foundation will make reasonable efforts to inform the Fundraiser and affected Users where funds raised through the Fundraiser Page are applied to an alternative Organisation.
The Fundraiser has no entitlement to receive or otherwise direct the transfer of funds raised through their Fundraiser Page.
ADDITIONAL TERMS FOR FUNDRAISING FOR NOMINATED CHARITIES (PENDING REGISTRATION)
WHAT THIS SECTION COVERS
This section applies where you create a Fundraiser Page on GoodHub to raise funds for a charitable Organisation that is not yet registered on GoodHub. We refer to such an Organisation as a “Nominated Charity (Pending Registration)”.
WHAT IS A NOMINATED CHARITY (PENDING REGISTRATION)?
A Nominated Charity (Pending Registration) is a charitable Organisation that has not yet registered with GoodHub but has been identified by you as the intended beneficiary of your fundraising activity.
HOW FUNDRAISING FOR A NOMINATED CHARITY (PENDING REGISTRATION) WORKS
When you create a Fundraiser Page for a Nominated Charity (Pending Registration):
- donations are made to The GoodHub Foundation, which will hold and administer those funds;
- GoodHub or The GoodHub Foundation will make reasonable efforts to contact the Nominated Charity and invite it to register with GoodHub and provide such information as may be required;
- the Nominated Charity will be required to satisfy GoodHub’s applicable registration, eligibility, verification, fraud, security and compliance requirements before funds can be transferred to it; and
- if the Nominated Charity successfully registers, satisfies the applicable requirements and no other restriction applies, The GoodHub Foundation will normally transfer the relevant funds, including any applicable Gift Aid, to the Nominated Charity in accordance with the applicable Organisation Terms and Conditions.
IF THE CHARITY DOES NOT REGISTER OR CANNOT BE VERIFIED
If the Nominated Charity does not register and satisfy GoodHub’s applicable requirements within 12 months of the first donation to your Fundraiser Page, or if GoodHub or The GoodHub Foundation is otherwise unable to transfer the funds to the Nominated Charity:
- The GoodHub Foundation may apply the funds to another charitable Organisation whose purposes closely align with those of the original Nominated Charity; or
- The GoodHub Foundation may retain the funds and use them in furtherance of its own charitable objects.
The same may apply where GoodHub or The GoodHub Foundation identifies or reasonably suspects fraud, financial crime, unauthorised payments or other illegal or improper activity, or otherwise determines that transferring the funds would be inappropriate for legitimate legal, security, compliance or risk reasons.
GoodHub or The GoodHub Foundation will make reasonable efforts to inform you where funds raised through your Fundraiser Page are applied to an alternative Organisation.
GIFT AID
Where donors are eligible and make a valid Gift Aid declaration, The GoodHub Foundation may claim Gift Aid in respect of eligible donations.
Any applicable Gift Aid will be held with the relevant donations and will only be transferred to the Nominated Charity if and when it successfully registers with GoodHub, satisfies the applicable eligibility and verification requirements and no other restriction applies.
Gift Aid claims and payments remain subject to applicable HMRC requirements and the relevant GoodHub and The GoodHub Foundation processes.
COMMUNICATIONS AND UPDATES
GoodHub will provide such confirmations relating to donations made through your Fundraiser Page as form part of the GoodHub service.
GoodHub or The GoodHub Foundation may provide updates concerning the registration or status of the Nominated Charity but cannot guarantee that the Nominated Charity will register, satisfy the applicable requirements or respond to communications from GoodHub or The GoodHub Foundation.
REFUNDS
Donations made to The GoodHub Foundation with a Nominated Charity (Pending Registration) as the intended beneficiary are non-refundable solely because the Nominated Charity does not register, cannot be contacted, does not satisfy GoodHub’s applicable requirements or cannot ultimately receive the funds.
This does not prevent GoodHub or The GoodHub Foundation from refunding a donation where it considers a refund necessary or appropriate, including in connection with fraud, unauthorised payments, chargebacks, legal or regulatory requirements or other legitimate compliance or risk concerns.
IMPORTANT DISCLAIMER
By creating a Fundraiser Page for a Nominated Charity (Pending Registration), you acknowledge and accept that:
- the Nominated Charity may choose not to register with GoodHub, may not satisfy GoodHub’s eligibility, verification or other applicable requirements, or may not respond to GoodHub or The GoodHub Foundation;
- registration by the Nominated Charity does not guarantee that funds will be transferred where fraud, security, compliance, legal or other risk concerns remain;
- funds raised may therefore be applied to another charitable Organisation or retained and used by The GoodHub Foundation in furtherance of its charitable objects as described above; and
- you have no entitlement to receive or otherwise direct the transfer of funds raised through your Fundraiser Page.
